Terms of Service

These Terms describe the baseline rules for using Undes. If a separate signed agreement applies, that agreement controls where it expressly conflicts with these Terms.

1. Overview

These Terms of Service govern your access to and use of Undes, including the website, command-line tools, documentation, hosted services, license management, software, and related services provided by Individual Entrepreneur "A13SOFT" (“Undes”, “we”, “us”, or “our”).

By accessing or using Undes, creating an account, starting a trial, purchasing a subscription, downloading software, or using a license key, you agree to these Terms. If you do not agree, you must not use Undes.

3. Product

Undes is an AI orchestration product for engineering workflows. It coordinates multiple AI agents and produces structured engineering artifacts, such as code analysis, architecture review, risk assessment, hypotheses, critique, and final synthesis.

Undes does not replace professional engineering judgment. You are responsible for reviewing, testing, validating, and approving any output before relying on it in production systems, business decisions, security decisions, customer-facing releases, or compliance-sensitive workflows.

4. Eligibility

You must be legally able to enter into a binding agreement to use paid Undes services. If you use Undes on behalf of a company or organization, you represent that you have authority to bind that organization to these Terms.

5. Account and access

You may need an account, license key, activation token, or subscription to use certain features. You are responsible for keeping your credentials secure and for all activity under your account.

You must provide accurate account, billing, and contact information and keep it updated. We may suspend or restrict access if we reasonably believe your account is used in breach of these Terms, applicable law, payment requirements, or security requirements.

6. License

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to use Undes for your internal development, engineering, review, and business purposes during the applicable subscription or license period.

Unless expressly permitted in writing, you must not:

  • resell, sublicense, rent, lease, distribute, or provide Undes as a standalone product;
  • reverse engineer, decompile, or attempt to extract source code except where allowed by law;
  • remove copyright, trademark, license, or attribution notices;
  • bypass license limits, activation limits, access controls, or security mechanisms;
  • use Undes to build a directly competing product by copying protected product design, workflows, or implementation;
  • use Undes in a way that violates third-party terms, model provider policies, or applicable law.

7. Bring Your Own Key

Undes may support “Bring Your Own Key” usage, where you configure your own AI provider API keys. You are responsible for your AI provider account, API keys, model usage, token costs, rate limits, provider terms, provider data handling, and any content sent to those providers.

We are not responsible for charges, outages, model behavior, data processing, account restrictions, or policy decisions made by third-party AI providers that you configure.

8. Customer content and outputs

“Customer Content” means prompts, source code, files, logs, configuration, repository metadata, artifacts, and other material that you submit to, process with, or generate through Undes.

As between you and Undes, you retain ownership of your Customer Content. You grant us a limited right to process Customer Content only as needed to provide, secure, support, troubleshoot, improve, and operate Undes, subject to our Privacy Policy and any applicable written agreement.

AI-generated outputs may be inaccurate, incomplete, unsafe, or unsuitable for your use case. You are responsible for independent verification, testing, security review, and compliance review.

9. Acceptable use

You must not use Undes to:

  • violate applicable laws or third-party rights;
  • process data you are not authorized to process;
  • attempt unauthorized access to systems, accounts, networks, or data;
  • create, deploy, or facilitate malware, credential theft, fraud, or harmful cyber activity;
  • upload unlawful, infringing, malicious, or deceptive content;
  • interfere with the security, integrity, or availability of Undes;
  • abuse trials, licenses, payment flows, refunds, chargebacks, or support channels;
  • use Undes for high-risk decisions without appropriate human review and safeguards.

10. Payments, subscriptions, and Paddle

Paid products, subscriptions, renewals, invoices, taxes, and certain refund flows may be processed by Paddle, acting as Merchant of Record or payment provider for the transaction. Paddle may appear on your checkout page, receipt, bank statement, invoice, subscription management page, or billing communications.

Your payment transaction may also be governed by Paddle’s buyer terms, checkout terms, refund policy, privacy notice, and other applicable Paddle terms presented during checkout.

Subscription fees, billing periods, renewal terms, included features, license limits, and cancellation options are shown on the pricing page, checkout page, account page, receipt, or subscription management page.

11. Cancellation

You may cancel a subscription through the account billing page, Paddle receipt or subscription management link, or by contacting support. Cancellation prevents future renewals but does not automatically entitle you to a refund for the current billing period unless required by law or stated in our Refund and Cancellation Policy.

12. Availability and changes

We may change, improve, suspend, or discontinue features from time to time. We aim to keep the product reliable, but we do not guarantee uninterrupted or error-free operation.

13. Beta and experimental features

Some features may be marked as beta, preview, experimental, community, or early access. Such features may be incomplete, unstable, changed without notice, or removed. You should not rely on beta features for critical production workflows unless you have independently validated them.

14. Intellectual property

Undes, including software, workflows, UI, documentation, trademarks, logos, product names, and related materials, is owned by us or our licensors and is protected by intellectual property laws. These Terms do not transfer ownership of Undes to you.

15. Confidentiality

If either party receives confidential information from the other, it must use reasonable care to protect it and use it only for the purposes of using, providing, supporting, or evaluating Undes. This does not apply to information that is public, independently developed, lawfully received from another source, or required to be disclosed by law.

16. Disclaimers

To the maximum extent permitted by law, Undes is provided “as is” and “as available”. We disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and error-free operation.

Nothing in these Terms limits any mandatory consumer rights that cannot be excluded under applicable law.

17. Limitation of liability

To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, business interruption, or cost of substitute services.

To the maximum extent permitted by law, our total liability for any claim relating to Undes is limited to the amount you paid for the product or service giving rise to the claim during the three months before the event giving rise to liability.

18. Termination

We may suspend or terminate access if you breach these Terms, create security risk, fail to pay fees, misuse the product, or use the product unlawfully. Upon termination, your right to use paid features ends, but provisions that by their nature should survive will continue to apply.

19. Governing law and disputes

These Terms are governed by the laws of the Republic of Kazakhstan, unless mandatory consumer protection laws in your country provide otherwise. Courts located in Almaty, Republic of Kazakhstan shall have jurisdiction, unless applicable mandatory law gives you the right to bring claims elsewhere.

20. Changes to these Terms

We may update these Terms from time to time. If changes are material, we will take reasonable steps to notify users, such as by posting a notice on the website, account page, or by email. The updated Terms apply from the effective date shown above.
